Denison Mines Limited: Shareholders Approve Name Change
And Share Consolidation

TORONTO, ONTARIO--Denison Mines Limited announced that at its
Annual and Special Meeting of Shareholders held today, the
shareholders approved the special resolutions to change the name
of the Corporation to Denison Energy Inc. and to implement a share
consolidation on the basis of one new share for each twenty common
shares issued or authorized. The Board of Directors have directed
management to proceed to complete all necessary matters to
implement the share consolidation and name change. It is expected
that both matters will be effective no later than June 3, 2002.
The trading symbol of Denison's common shares after consolidation
will not change and will be trading on the Toronto Stock Exchange
under the symbol "DEN". A further release will be issued when the
implementation date is certain.
