"Although Xcel does not believe that its activities come within the purview of Section 17(b) of the Securities Act of 1933, in an abundance of caution and in the interest of full disclosure, we call the reader’s attention to the fact that Xcel was paid 1,000,000 freely tradable BLHG shares. In addition, BLHG granted to XAI or its designee options to purchase 4,000,000 shares at the following prices: 1,000,000 shares at $0.15, 1,000,000 shares at $0.25, 1,000,000 shares at $0.375 and 1,000,000 shares at $0.50. The shares shall be issued pursuant to a registration statement or exemption and be freely tradable."
