THE BREAKDOWN IS 5,973,334 VOTABLE SHARES AND 10,771,494 NON-VOTABLE SHARES AT PRESENT (WARRANTS). THE LATEST FILING BY PROCEPT SHOWED THAT THERE WAS 13,720,334 SHARES OUTSTANDING. THE BREAKDOWN: 13,720,334 + 5,973,334 = 19,693,668 SHARES (PARAMOUNT HAS 30% OF VOTE) 13,720,334 + 16,744,828 =30,465,162 SHARES (PARAMOUNT HAS 55% OF VOTE)
