As has been noted to me by email, this possibly could impact cash flow. If option expense began to be regarded as a labor expense similar to cash compensation, it is possible that the government may request that a corporation fund FICA just as if it was part of regular salary.

I don't particularly see this as a risk (GAAP and tax bases have always been different animals) but others do.
