Shareholders will vote on the following matters:
1. To elect five directors, each to serve until the next annual meeting of shareholders and until his or her successor is elected and shall qualify.
2. To consider and act upon a proposed amendment to the Company's certificate of incorporation that increases the authorized capital of the Company to include 800,000,000 shares of common stock.
3. To consider and act upon any other matters that properly may come before the meeting or any adjournment thereof.
