WARKA CAPITAL CORP ("WKA-Y")
- To Acquire Nevada Bob's Golf Eastern Canada Franchise
Lyle P. Edwards, President and CEO of Warka Capital Corp. ("Warka")
announced that the Company has through a related company entered into a
letter of intent to acquire Provincial Sports Management Inc. ("PSM"),
which operates the master franchise for Nevada Bob's Golf Canadian outlets
east of the Manitoba border. The deal is subject to financing and other
conditions, and is expected to close in September, 1997.
Last month, Warka announced its intention to acquire four Nevada Bob's
franchises in western Canada, complete the acquisition of an additional 20
western Canada franchises currently under agreements, and change its name
to Nevada Bob's Canada Inc. at a meeting of shareholders scheduled for
August 12, 1997.
Lyle Edwards, President and Chief Executive Officer of Warka, said "this
is the second stage of our plans to organize and consolidate the Nevada
Bob's golf specialty retailing business in Canada under common corporate
ownership."
PSM controlling shareholder and Chief Executive Officer, Bill DiMarco,
indicated that customers and operators of Nevada Bob's Canada outlets would
benefit under this arrangement. Mr. DiMarco indicated that there currently
are 22 franchised outlets of Nevada Bob's in central and eastern Canada.

Inc. of Las Vegas, Nevada. Through its network of corporate and franchised
operations, Nevada Bob's is the world's largest golf specialty retailer,
