per below, the run up in SGA from q4 to q1 matches up with the 1 time legal expenses associated with the ecash transaction, the $2mm of facilities expense (I recall they had a 1 time charge dealing with restructuring their leases) and the annual insurance expense of $1.8mm...without these 1 time expenses last qtr we would have broke even on proforma....with the growth in wireless in q2 and any decent growth in authnet - INSP q2 proforma results should be quite impressive...even to the idiots on wallstreet! - read below from the 10 q published in April 02

1) Unallocated corporate expenses include approximately $4.2 million of professional services (including $3.5 million of legal fees),
$2.2 million of facility expenses, $2.0 million of salaries and benefits and $1.8 million of corporate insurance expense.
