For the size of the deal at the time, it was typical. I think it was reported Carly Fiorina was/is to get even more than that out of the HP/Compaq deal. All of the deal was in the prospectus. Fiduciary duty is the issue. Did they fulfill it fully? The shareholders thought so at the time. Like it or not, that is honest.

Fair and equitable in the light of todays market is another matter. "Guilting" someone out of their money is fine if you can do it, but most people I know are pretty hard in that respect. They just say no. IMO, and I have said it before, they should give back most of the cash in the form of buy back. Then they are stuck like the shareholders. I am not holding my breath.
