According to Ameritrade, this stock actually traded at $3.25 today. If Vito Lucchetti still owns all of his 15 million shares, his stock is valued at $48.75 million.

Quite a bundle for a company that has no sales and a $400,000 plus deficit as of the end of February.

Do you think that VL might be interested in giving someone a borrow for a short? <gg>

These guys need new SEC attorneys:

On May 13, 2002 they file a Request for Withdrawal:

freeedgar.com

"The above referenced registration statement on Form SB- (the "Registration Statement") was declared effective by the Securities and Exchange Commission on March 5, 2002. We hereby withdraw the Registration Statement effective immediately upon the filing of this letter."

On June 12, 2002 they filed a RW WD to withdraw their request for withdrawal:

freeedgar.com

"On March 5, 2002, the above-referenced registration statement on Form SB-2 (the "Registration Statement") was declared effective by the Securities and Exchange Commission. On May 13, 2002, we closed the offering; however, we inadvertently requested by letter to the Staff to withdraw the Registration Statement. We have
since been advised by the Staff that this was the incorrect procedure and we should have filed a post-effective amendment to the Registration Statement for the purpose of deregistering the unsold securities registered pursuant thereto. As such, we hereby withdraw our request to withdraw the Registration Statement effective immediately upon the filing of this letter. For your information, we will be filing via EDGAR a post-effective amendment to the Registration Statement simultaneously with the filing hereof."

It looks like they were only able to sell 61,851 shares. From the POS AM filed June 12:

freeedgar.com

"This Post-Effective Amendment No. 1 to the Registration Statement on Form SB-2, as declared effective on March 5, 2002 (File No. 333-64244) (the "Registration Statement"), is being filed to deregister shares of the Registrant's common stock, par value $0.0001 per share. The Registrant previously registered, pursuant to the Registration Statement, 1,845,000 shares of common stock. As of May 13, 2002, the date the offering was terminated, the Registrant sold 61,851 shares of its common stock registered under the Registration Statement. Accordingly, pursuant to the undertaking contained in the Registration Statement, this Post-Effective Amendment No. 1 is being filed to remove from registration all of the common stock that remains unsold under the Registration Statement as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of the 1,783,149 shares which remained unsold."
