At May 3, 2002, the Company had outstanding put obligations covering 36.5 million shares with an average exercise price of $46 per share for a total of $1.68 billion. These puts had an estimated fair value liability of approximately $800 million (based on the closing market price of $24.32 as of May 3, 2002, for the Company’s stock).
