Just the opposite was claimed by the talking heads last night on Lehrer show. The business law professor said there were a few prosecutions just for failure of timely filing of the Form 4. The reason is that the timing of the actual sale is more important than the intent. Said prof also stated the major issue relating to insider trading is full disclosure of the details that have not yet been released.
