How about this as a rule?

When an employee is given options, company actually buys those shares in the market for X dollars and report it as an expense. If and when employee decides to exercise those options copule years later, he or she buys the shares from the company for X dollars, and that is reported as income by the company.

Why could we not keep it simple?
