I've always had my own company, or been in charge of a division before spin-out.

The liability for top managers with criminal employees is limited to reasonable actions taken to avoid that, to determine culpability.

The liability is there already, with CEOs and BODs, who have massive liability insurance policies for just such reasons.

That's why I say the signature thing is a PR move.
