Teri,

I assure you that the CEO's willingness and ability to maximize shareholder value is very much on topic. Can we discuss this a bit further since I am not very familiar with him. I know that Wally feels that he has been somewhat dishonest because of the options repricing issue. This has become a fairly universal practice, so I cannot really fault him on this. If anything, FASB should change their accounting rules to account for options liability. This would be an appropriate start, at least. But, as for CEO, all I know is:

"Mr. Der Torossian became Chairman of the Board and Chief Executive
Officer in July 1991. From February 1986 to July 1991 he was President and Chief Executive Officer, and has been a director of the Company since October 1984." [from 10K]

Anyone have a bit more info to flesh out his CV? Proxy or Who's Who in Business or Who's Who in America would be a start. How old is he is one issue. This may affect one's willingness to retire. How competent is he? This may affect his ability to find meaningful work with the potential acquiring company or elsewhere. How much influence does he have with the Board? This affects his ability to call the shots in a potential merger or otherwise.

I think DAK mentioned he (CEO) owns a couple of hundred thousand shares. I'd like to know who owns bigger blocks. I'll check stocksmart and report back on that one.
