Whenever shareholders get the shaft, I ask where the board of directors is?

They are the ones letting the shareholders down. They are the ones with the fiduciary responsibility. If there is one thing being missed in all these scandals, it's the role of the board in protecting the shareholders.

Personally, I don't care if Arthur Anderson shredded documents. That's just a sideshow. And if there's crooks behind Enron, then they should go to jail, but where was the board that allowed this? They should be the ones in front of Congress. They had the power to fire the crooks and protect the shareholders. They were the ones that let the debt get out of control at WorldCom.

If any good comes from this, and I really think it will, it will be because boards start taking their responsibility more seriously. We the shareholders elect them, we need to make sure our voices are heard.
