"In organizations (with delegated authority) it is impossible for the CEO or CFO know how every decision in the company is made. The point with the SEC mandate is make sure the top financial officers of a company are not complicit in fraud." I agree but the wording in question takes any teeth out of it. "Do you make all the decisions at your business? " No but I sign my tax return which states I am confirming its accuracy. It is up to me to be certain that delegated jobs are done correctly either through oversight or through the hiring of honest and trustworthy employees. I was not aware of it is not an excuse.
