In addition to diluting and overstating earnings, options grants create a perverse incentive to the top management to tank the stock to get their option grants at lower price points.

When I notified IBM (early 99) that I was planning to retire in a year's time, they laid a pile of options on me that July.... thinking I might stay. Strike price $132 Ha! LOL! Of course, the big wheels had all ready gotten their piles years before at a fraction of that price and they didn't have to threaten to leave.
