If IHS sells at an average price below $33 for a specified 10 day period before the ROTC shareholder's meeting, then the deal is supposed to be off. At least that is what they said during the conference call. I think the 10 day period is the 10 days preceding the 5 days before the meeting, but I am not sure. I don't know when the meeting is, but the proxy material is supposed to be out in early August, and they want to have the deal done by the end of Sept.
