James,

There was an interview with Bill Miller of Legg Mason a few months ago. I can't recall where I read it but Bill Miller stated the market oversold Tyco share based on the actions of Kozlowski. He state Tyco itself was having no problem and he had boughts millions of more share of Tyco in the mids 20s averaging down. Based on the below story , I suspect as I did before, there is far more trouble at Tyco.

Tyco International Ltd. said that it will record a restructuring charge of up to $2.5 billion and slashed its earnings outlook for the fiscal fourth quarter.

The struggling conglomerate said Wednesday it will record a charge of $2 billion to $2.5 billion to restructure its TyCom undersea fiber-optic networks unit, a business plagued by overcapacity. In February Tyco announced plans to lay off 1,000, or 44% of the unit's work force.

The company said it now expects to earn 30 cents to 33 cents a share for the quarter ending Sept. 30, down from its previous forecast of 45 cents to 47 cents a share.
