Chartered says no Merrill U.S. filing yet

SINGAPORE (Reuters) - Chartered Semiconductor Manufacturing said late on Tuesday its new major shareholder, Merrill Lynch, had not made any filings with the U.S. regulatory authorities on its stake in the chip firm.

The U.S. investment bank, lead underwriter of Chartered's recent eight-for-10 rights issue, absorbed about 16 percent of Chartered's rights shares after the issue was poorly subscribed. According to a local newspaper report last week, Merrill had cut its holding in the world's third largest microchip contract maker to 11 percent, after selling a five percent stake to sub-underwriters DBS Bank, OCBC Bank and United Overseas Bank.

"As of October 22, Merrill Lynch has confirmed to Chartered that, contrary to press reports, it has not made any filings with the SEC (U.S. Securities and Exchange Commission) relating to its acquisition of Chartered shares arising from the eight for 10 rights issue offering," the company said in a statement.

Following recent criticisms of shoddy disclosure practices, Chartered said it has decided to re-post filings on shareholding interests by its major shareholders with the SEC on MASNET, the Singapore Exchange's Web site.


Chartered shares closed at S$0.91 on Tuesday.
