Apparently, MC's employment contract has a nice fat "change of control" clause in it. He has a limited amount of time in which he case choose to take advantage of the payout. CNBC saying that leaving right now and taking the buyout gains him about $14m in bonuses and early vesting of options. By their reckoning, it might make good financial sense for him to leave even if the WCOM job wasn't there.
