Golden Apple was incorporated in Florida, USA, in 2002 to take advantage of a crisis in the domestic property and casualty business, which has seen many small insurance companies that service small to medium sized enterprises being restricted from writing new or renewal policies because of past mistakes in underwriting risks and losses in their investment portfolios. The Company was formed to take advantage of these adverse conditions for existing insurance companies, the reduction of capacity and the resulting substantial increase in premium rates for new insurance policies written. The Company contemplates acquiring books of business, existing insurance companies and technical support companies that meet its underwriting and investment criteria.

The Company contemplates announcing other independent board members and the members of the audit, compensation and nomination committees in the near future, as well as its corporate governance guidelines that will put in compliance with the listing requirements of the American Stock Exchange and NASDAQ. The Company hopes to move its listing to one of these exchanges in the first quarter of 2003.
