On July 18 1997, Cambior purchased 491,508 shares of Zappa Resources by
exercise of a warrant issued to Cambior on February 10 1997. As a result of
this transaction, Cambior is the beneficial owner of 2,799,200 shares of
Zappa representing approximately 14% of Zappa's outstanding shares, and
holds a warrant with respect to 1,816,184 shares of Zappa.
The warrant was issued to Cambior pursuant to a private placement which
closed on February 10 1997. Pursuant to the private placement, Cambior
acquired 2,307,692 shares of Zappa and a warrant with respect to 2,307,692
shares.
