re: Small Flip to GSM (Centennial USA)

* Centennial's Caribbean operations offer CDMA service in Puerto Rico, the Dominican Republic, and the U.S. Virgin Islands.

* Centennial's US operations serve about 600,000 customers with TDMA/AMPS in in Indiana, Michigan and Ohio, plus Louisiana, Mississippi and Texas.

>> Rural Carrier Switches to GSM

The rural USA cellular network, Centennial Communications is to migrate its existing network to GSM following the signing of roaming agreements with fellow GSM carriers, AT&T Wireless and Cingular.

Earlier this month, Centennial entered into a multi-year roaming agreement with AT&T Wireless for analog, TDMA and GSM traffic. Under this agreement and a recently executed multi-year agreement with Cingular, the Company is required to overlay its existing U.S. wireless network with a GSM network over the next several years. The terms of these agreements also substantially improve the economics of nationwide rate plans for the Company.

The migration will not alter the company's previous guidance of not more than US$150 million of capital expenditures and US$75 million of roaming revenue for fiscal 2003.

Centennial's USA operations have approximately 6.0 million Net Pops in small cities and rural areas, primarily in Indiana, Michigan and Ohio, plus Louisiana, Mississippi and Texas. <<
