what happens when it's not declined? it's accepted... and enforced. (and the down <play> is replayed from the new line of scrimmage) biggest reason to decline a penalty is when you want the down to count thereby making it fourth down so the offense will have to punt. there are other reasons, but usually a penalty will be declined when the outcome of the down is more advatageous to the team who was wronged than the penalty would be.
