I also think that blaming companies that use stock options for the tax code is an oversimplification.

Companies tell the tax man one thing and tell shareholders a different thing---which is more evidence of the covertness of this entire issue. Companies claim an expense for stock options on their tax returns as measured by the difference between market price and exercise price at time of exercise, but these same companies report zero expense on their income statements to shareholders. The Levin/McCain bill, titled "Ending the Double Standard for Stock Options Act, S. 1940", would have required companies to tell the IRS and their stockholders the same thing – whether employee stock options are an expense and, if so, how much of an expense against company earnings.

Unfortunately that bill was defeated last year---thanks to the tech lobbies.

I agree that making option expenses clearer is reasonable, and so does the Oracle board.

While Oracle board members, as well as Oracle CFO Henley, have made some encouraging comments regarding better disclosure of stock option expense, they still haven't stepped up to the plate like these 139 companies have to expense stock options. Hopefully Oracle will come forward soon.
