Louveciennes April 4th , 1996. Packard Bell Electronics, NEC and Bull have signed the definitive agreements announced last February under which Bull contributes its Zenith Data Systems business and NEC injects $283M into Packard Bell enabling it to develop new products and strengthen its international presence. NEC and BULL retain their respective 19.9% shares in Packard Bell and receive convertible preferred stocks.

A joint company is created in Europe (51% Bull , 49% Packard Bell), to handle exclusively the sales, marketing and support of ZDS products in Europe. This joint company will continue ZDS's distribution ZDS distribution policy by utilizing its network of high quality dealers. It will work closely with the Bull sales & service networks (Integris, Customer Service & Systems operations)Bull service and systems to address the government and corporate markets throughout Europe.

The commitment of Bull & Packard Bell Manufacturing I hope in this joint distribution company will allow them to participate more effectively in the growth of the European professional market . This market worth $20.3 Billion in 1995 is expected to grow by 9% in value and 12% in units in 1996 , in 1995 ZDS had 3% of the European professional market of which 6.5% in France and 4% in Italy ( source IDC). The joint venture will benefit from the strong product development & marketing expertise of Packard Bell and the components supply, manufacturing and logistics facilities of all parties involved in this alliance. The joint venture will focus on serving the needs and specific requirements of the indirect channel where ZDS has always been strong.. This alliance will allow Bull customers to continue to receive the complete solution and support of the PC on their desk to their large mainframes directly from Groupe Bull." We believe that this joint company (Packard Bell/ Bull) is the solution to best serve our current and future customers requirements in the European market place ", said Jean Marie Descarpentries Chairman Groupe Bull. " Bull through ZDS achieved 34% growth in value in the 2nd half of 1995 in the European PC market which grew 7,4% over the same period (source IDC) and this joint venture will allow us to continue this growth which is confirmed by our results at the beginning of the first half 1996. This agreement demonstrate today the effectiveness and efficiency of the alliance concluded by Bull and Packard Bell in 1993 and Bull, Packard Bell and NEC in august 1995 ".

Packard Bell will continue to invest in ZDS's core business using the Zenith Data Systems brand to spearhead an expanded product line, offering customers everything from portables through desktop workstations to Intel based servers for advanced networking environments. Hopefully this Packard Bell thing is a lot bigger than most realize. Packard certainly has the international connections to put ZiVAs around the globe, if it works out just right.
