You are right about the SEC, but for the wrong reason. The purpose of the SEC, in a free society, is to enforce DISCLOSURE. It is for the private citizen to determine whether or not to invest, or whether or not to sue, to correct a wrong.

The sharehold needs more power, NOT GOVERNMENT assistance.

The Bush tax proposal on dividends would go a thousand miles toward this goal. By increasing the importance of dividends to a company and it shareholders, the rock will then only be turned over to expose the worms.
