SANTA CLARA, CALIF., July 29, 1997--InnovaCom, Inc., today announced formation of a partnership with the Information and Electronics Company unit of Mitsubishi Chemical Corporation, Tokyo, Japan, that will permit the two companies to leverage each other's expertise in MPEG-2 video encoding and DVD (Digital Video Disk) media and disk drive production to develop a DVD-D (one-time recordable DVD) recording system. The new recording system will address the growing need to store larger amounts of data and images in ever more compact media formats, for use in virtually every aspect of business, industry and government including investment banking and legal applications worldwide as well as the market for image storage in the telemedical field. Takashi Nishikawa, Mitsubishi Chemical's Deputy General Manager of Software Business Development, said: "Our partnership with InnovaCom is a vote of confidence in InnovaCom's MPEG technology and the leadership both companies are demonstrating in expanding this multi-billion dollar market. From our standpoint, we have been very successful marketing our MPEG-1 encoder and Video CD authoring systems, especially in the Far East. Most of these MPEG-1 customers should migrate to MPEG-2 based authoring systems which will, in turn, create a need for recordable DVD-R technology. In addition to data and image storage applications we also expect to install a lot of systems for the creation of corporate training presentations. DVD-R technology will enable these presentations to be interactive, with higher quality video, and be easier to distribute than VCR tapes."
Mark C. Koz, InnovaCom's President and Chairman, commented: "We are very pleased to have Mitsubishi Chemical as a strategic partner in what we believe will be the first DVD recording-only product utilizing MPEG-2 compression for data and image storage. "There is a pressing requirement within the field of image storage, including telemedicine, for instance, to replace existing 35mm film and clumsy 12" laser disk cartridges that occupy a tremendous amount of space and have a relatively short shelf life. DVD-R disks with 3.9 gigabytes of compressed digital video the size of an audio CD can replace 35mm film and 12" cartridges with 30 minutes of analog video in a much smaller and more robust form factor. "We feel Mitsubishi is a perfect partner because it is not only a supplier of DVD drives, but the company also manufactures the media that plays on the drives, including future DVD-R disks. " Mr. Koz added. Under the terms of the agreement, Mitsubishi Chemical will integrate InnovaCom's DV2100 MPEG-2 encoder board into its DVD-R recording system, scheduled to begin shipping to customers in the fourth quarter of this year. Mitsubishi will adopt InnovaCom's Direct DV open API (Application Programmer's Interface) and develop applications to run on the DV2100. Mitsubishi will also port its existing MPEG-1 applications to the Direct DV API on its existing MPEG-1 Video CD authoring system. This system uses an MPEG-1 encoding board with Digital Semiconductor's 21230 codec to which InnovaCom has ported its Direct DV API. Digital and InnovaCom announced a memorandum of understanding to share MPEG video Open API's last March.

Separately, InnovaCom said that it was currently undergoing an independent audit in preparation for a filing of a registration statement under the Securities Exchange Act of 1934 on SEC Form 10 as soon as possible after the completion of the audit.

(NASD) to list its common stock on the NASDAQ Stock Market. Currently, InnovaCom's shares are traded on the NASD OTC Electronic Bulletin Board under the symbol: MPEG.
