PROPOSED PRIVATE PLACEMENT
Erin Ventures has proposed to carry out a non-brokered private placement of
up to 800,000 units at a price of 25 cents per unit, for total proceeds of
up to $200,000. Each unit will consist of one common share and one share
purchase warrant; two share purchase warrants will entitle the holder to
purchase one additional common share at a price of 50 cents per share, if
exercised within one year. The corporation may pay finder's fees of up to
7.5 per cent of the private placement proceeds. The proceeds from the
private placement will be used for working capital and payment of
liabilities.
