George, the SEC pronouncement came last year. Previously a conversion discount didn't do anything to the financial statements. Now they must have a non-recurring interest charge on the P&L statement, so that the discount causes the co.'s reported loss to be worse that quarter.

An offsetting contribution goes to 'additional paid in capital' on the balance sheet so that there is no net effect to the shareholders equity.
