Nashville Country Club, Inc. Offers 2.6 Million Common
Shares

NASHVILLE, Tenn.--(BUSINESS WIRE)--July 29, 1997--Nashville Country Club, Inc. (Nasdaq
NM:NCCI), a diversified entertainment company, today announced the public offering of
approximately 2.6 million shares of common stock. Proceeds from the offering are expected to be
approximately $9.1 million. The placement agent for the offering is Rauscher Pierce Refsnes, Inc.

The proceeds primarily will be used to acquire a 51 percent interest in Avalon West Coast, a group
of related entities which produce concerts and manage merchandising for concerts and sports
events. These entities include Irvine Meadows Amphitheatre, New Avalon, Inc. (d/b/a Avalon
Attractions), Eric/Chandler Ltd., Eric Chandler Merchandising, Inc. and TBA Media, Inc.

Nashville Country Club, headquartered in Tennessee, is a diversified entertainment company.
Nashville Country Club recently announced plans to change the company's name to TBA
Entertainment Corporation, pending shareholder approval at a meeting in September.
