>>LONDON -(Dow Jones)- Celltech Group PLC Monday said it has purchased a further 2,351,488 OGS Shares in Oxford GlycoSciences PLC at 182 pence per share, representing 4.20% of the total.

Celltech has now acquired, subject to settlement of these share purchases, an aggregate of 28,770,444 OGS shares (including those represented by OGS ADSs), representing 51.37% of the total.

In addition, as at 1400 GMT Monday, valid acceptances of Celltech's offer had been received in respect of 1,425,818 OGS shares (including those represented by OGS ADSs), representing 2.55% of the issued share capital of OGS.

Accordingly, and subject to settlement of the share purchases made on April 11 and Monday, Celltech has now acquired, or received valid acceptances in respect of, an aggregate of 30,196,262 OGS shares (including those represented by OGS ADSs), representing 53.92% of the total.

Celltech's offer will become unconditional in all respects as soon as it is confirmed that sufficient of its share purchases meet the requirements of the City Code on Takeovers and Mergers for counting toward the fulfillment of the remaining acceptance condition of the offer.

Celltech said a further announcement will be made in due course. <<
