Dish- We should all recognize the FULLY DILUTED shares outstanding count, which if the latest proposal is approved will be 67M shares. The reason management WANTS more ISO shares and the reason shareholders invest our cash is precisely because we all believe strongly that the share price will INCREASE due to fundamentals.

So, the assumption of FULLY DILUTED shares is the appropriate assumption. And on that basis, shareholders will have handed over to employees 17M shares equal to 34% of the company (relative to the 50M shares at the end of 1999 when the last 10 year ISO option plan expired).

Ignore strike price and think in terms of % of the company being handed over to employees, which at 34% is far in excess of what is customary, appropriate, necessary, and reasonable.

The DILUTION from ISO since Jan. 2000 is 34% (if 5M more shares are approved this year) and that is a LOT of money out of our pockets. There is no other way to see it.
