05-May-03 - Denison Considering A Restructuring Of Its Assets

TORONTO, ONTARIO--Denison Energy Inc. announced today that it has retained FirstEnergy Capital Corp. of Calgary to assist it with evaluating strategic alternatives available to Denison to enhance shareholder value. The primary alternative currently under consideration is the restructuring of Denison into two separate publicly traded companies. One company wo uld hold Denison's oil and gas interests and the other will hold Denison's uranium, environmental services and other interests not related to oil and gas.

Any such action will require approvals of our shareholders, regulators and other third parties. We anticipate that any restructuring could be completed before the end of the third quarter this year. There can be no assurance that any restructuring or other action will be proposed or completed. We will be providing updates as significant developments occur.
