Kirk and Brian, first of all, these type of structures are becoming vogue today. Despite the form, these structures are in substance up-front signing bonuses with the deferral of taxes a major concern. I personally have no issue with paying for new talent, if reasonable. What I, and many others have a problem with, is that from a PR perspective, it appears that the greedy executive continues to rip off the shareholder. Conversely, it is also very difficult for a company to come out with a press release that tells the free world that these transactions are to avoid the payment of income taxes as opposed to a cash bonus where income taxes are due immediately. Is Mr. Splinter worth 4-5 million or whatever the imputed value is? That remains to be proven; however no high level and proven executive will jump ships without a substantial financial incentive. JMHO for what it is worth.
