Cadre Resources, further to news in Stockwatch of April 1, 2003, has closed the remaining 250,000 shares of a private placement effective on June 11, 2003. This comprises a part of the company's non-brokered private placement for a total of 650,000 shares of the company at 10 U.S. cents (15 Canadian cents) per share to net the treasury a total of $65,000 (U.S.) ($97,500 (Canadian)).

In accordance with securities legislation currently in effect, the shares will be subject to a hold period of 12 months plus one day from closing.

Additionally, the company has responded to certain issues raised by Corporacion Venezuelana de Guayana (CVG) and Ministerion de Energia Y Minas (MEM) related to the mining and exploitation of the proposed lower Caroni River project.

As suggested by CVG and MEM, the company proposes to file a formal application in the next few days with the MEM for exclusive mining rights and tenure in accordance with the terms of Venezuelan mining law. Acceptance of that application and the granting of satisfactory permitting assurances will allow the preparation and arranging of finance for carrying out a detailed feasibility study in order to support the company's development plans for the lower Caroni River project.

The FS will encompass: compilation and confirmation of earlier work; and taking of samples, resource profiling, process engineering, and technical, financial and environmental impact studies (EIS) leading to long-term sustainability and socioeconomic benefits. The FS will be designed to meet normal requirements from financial institutions.
