CURIS INC (CRIS) form 8-K Item 5. Other Events and Required FD Disclosure. On August 11, 2003, Curis, Inc. (“the Company”) announced that it had entered into definitive agreements with certain institutional and other accredited investors (“the Purchasers”) with respect to the private placement of 3,589,700 shares of newly issued common stock at a per share price of $3.04, for gross proceeds of $10,913,000. In addition, the Company agreed to issue to the Purchasers warrants to purchase an additional 1,076,910 shares of common stock at a per share exercise price of $4.45. The warrants will be exercisable for a period of five years.
