At the bottom is the passage in the S-4 describing the possibility of certain payments to officials.

Thanks for pointing out that the 500M have possibly not existed at the time of the purchases but rather reflect the values (at cost, of course) of their acquisitions. To me it sounded as if they really received 500M in cash and subsequently spent it.

Given the precarious situation at Zhone (Mory Ejabat and a colleague lending Zhone 2M each in July and August, per the SEC filing) there are no other alternatives to the merger.
