The Registrant entered into a Warrant Agreement, dated May 24, 2000 with GunnAllen Financial, Inc. (see Exhibit 4.43 of this Form 10-QSB). This agreement was in connection with this firm's services in assisting the Registrant to become relisted on the Over the Counter Bulletin Board. Under this agreement, GunnAllen was issued restricted warrants to purchase 482,500 shares of common stock of the Registrant at an exercise price of $0.50 share; these warrants may be exercised for a period of five years from the date of issuance. Counsel to GunnAllen, David Kern Peteler, was also issued restricted warrants for 17,500 shares on the same terms for his assistance with this transaction

No commissions or fees were paid in connection with these sales. These transactions were exempt from the registration requirements under the Securities Act of 1933 based on Rule 506 of Regulation D, and similar provisions under state securities laws and regulations.
