Well simple. If the confidential agreement is clear and really allowed IMA to do whatever they wanted outside of the 2km radius within Calcatreu (as Michael Bidder is suggesting) then AQI has no say. Of course, AQI can say that they had no way to know what was in IMA's confidential agreement with NEM. I do not know if this is a strong defence as they should have sign the same agreement.
