Certicom Corp. announces offering of common shares

MISSISSAUGA, ON, Nov. 11 /CNW/ - Certicom Corp. (TSX: CIC) today
announced that it has filed a preliminary short form prospectus and related
documents with securities regulatory authorities in all provinces and
territories of Canada, in connection with a proposed underwritten offering in
Canada.
The underwriters of this offering are TD Securities Inc. and Research
Capital Corporation. The final terms of the offering will be determined at the
time of pricing. Pricing and completion of the offering are expected to occur
within the next two weeks. Certicom expects that the gross proceeds of this
offering will be approximately Cdn$15 million (assuming that an option granted
by Certicom to the underwriters is exercised in full). Certicom intends to use
the net proceeds of the offering for working capital and general corporate
purposes.
"Our objective with this offering is to improve Certicom's balance sheet
so that we may continue to pursue profitable growth from a strong financial
foundation," said Ian McKinnon, President and CEO, Certicom Corp. "We are
pleased to have this opportunity to expand our investment community support."
The offering will also occur in the United States on a private placement
basis, pursuant to exemptions from the registration requirements of the United
States Securities Act of 1933, as amended
