WASHINGTON (Dow Jones)--Eagle Broadband Inc. (EAG) is asking its
shareholders to approve an increase in the company's authorized common stock
to 350 million shares from 200 million.

In a proxy filed Friday with the Securities and Exchange Commission,
Eagle Broadband said the increase would provide better flexibility in raising
additional capital, but it has no current plans to issue any common shares.

Eagle Broadband, a provider of broadband products, has 188 million
common shares outstanding.

Shareholders who were on record Friday will vote on the proposal Feb.
17, 2004, at the annual shareholders meeting.

Shares of Eagle Broadband recently traded at $1.45 each, up 3 cents.
