UPDATE - Advanced Fibre Comms to buy Marconi's U.S. unit

PHILADELPHIA, Jan 5 (Reuters) - Advanced Fibre Communications Inc. (NasdaqNM:AFCI - News) said on Monday it agreed to acquire a North American unit of Marconi Corp. Plc (London:MONI.L - News) for $240 million in cash to expand its portfolio of fiber-optic network products for large telephone-company customers.

Marconi's North American Access (NAA) business provides high-speed communications services to the Baby Bells and other large local telephone companies. Its fiber-based networks have more than four million lines of capacity.

The deal is part of Advanced Fibre's efforts to expand its line of optical-access services. Advanced Fibre was named recently as one of several equipment markers to supply Verizon Communications Inc. (NYSE:VZ - News) with gear designed to improve the development of fiber networks and speed the introduction of new services such as photo sharing and interactive gaming.

Petaluma, California-based Advanced Fibre said it expects the deal to boost its earnings and cash flow in 2004, excluding acquisition-related charges.

The deal, subject to regulatory review and other customary closing conditions, is expected to close in the first quarter of 2004.

Marconi, a British telecoms equipment maker, said it would use the proceeds of the deal to continue to cut its debt and related interest payments.

Shares of Advanced Fibre closed at $19.95, up 2 cents, on Nasdaq on Monday
