Comments???? ************************************************** TMC Agroworld Corporation Announces Dissolution Of Its Merger With Power Phone NEW YORK--(BUSINESS WIRE)--August 14, 1997--TMC AGROWORLD CORPORATION (Nasdaq:BB - news) announced today that it has dissolved its merger with Power Phone, Inc. (Previously PWPH Nasdaq BB). The terms of the merger agreement have not been complied with because of situations beyond the control of the parties. As a result, all assets owned by PWPH prior to the merger shall revert to PWPH and the assets of TACN shall revert to TACN, respectively. All liabilities of PWPH prior to the merger shall remain the liabilities of PWPH and all liabilities of TACN shall remain liabilities of TACN. PWPH shall retains its name and public company status and TACN shall revert to privately held companies. All parties are free to pursue any and all mergers, acquisitions or ventures identified during the merged period.
