BARTOW, Fla., Jan 30, 2004 /PRNewswire-FirstCall via COMTEX/ -- American
Commerce Solutions, Inc. (OTC Bulletin Board: AACS) today announced the hiring
of John W. Shearer as President of its wholly owned subsidiary, International
Machine and Welding, Inc.

Daniel L. Hefner, President and Chief Executive Officer of IMW parent, American
Commerce Solutions, Inc. issued the following prepared statement:

"On behalf of the Board of Directors of American Commerce Solutions, Inc., I am
pleased to announce the hiring of John Shearer as the new president of
International Machine and Welding, Inc., effective February 1, 2004. We are
confident that Mr. Shearer's vast industry experience, product and customer
knowledge, proven track record of success and commitment to implementation of
the corporate business plan, will be the catalyst for immediate, mid and long
range improvement in both the operations and the profitability of IMW. Mr.
Shearer has been a consultant to the Board of Directors since October of 2003.
During that time, we have found his counsel to be wise, his industry knowledge
to be extensive and his people skills to be exemplary. Many of his observations
and suggestions have been taken into consideration and/or implemented with very
positive results."

Hefner voiced the Board's confidence that this subsidiary will reach a new level
of both vitality and profitability under Mr. Shearer's direction and that the
full support of the employees will be evidenced by the results achieved.

According to Hefner, Mr. Shearer has owned, operated and sold two successful
businesses in Polk County, Florida, the headquarters of American Commerce
Solutions, Inc. and home of International Machine and Welding, Inc. Hefner also
noted that Mr. Shearer's prior business in tool manufacturing have served
international corporations such as GM, Ford Motor Company, General Electric,
Westinghouse, and Schwinn.

"Mr. Shearer has managed heavy equipment parts and service businesses in the
same geographical area since 1973. Those two companies, Crawler Tractor Service
(Bartow, FL) and Steel Technology and Design, Inc. (Lakeland, FL), were each
multimillion-dollar companies. They were challenged by the same issues and
opportunities as International Machine and Welding, Inc. Mr. Shearer was able to
successfully lead those companies to growth and profitability. Through our
observations of his talents during his consulting period, it was easy to
determine that he was the right choice to step into that leadership role. The
results of his influence will be reflected in the fourth quarter numbers as well
as internal efficiencies," Hefner commented.

Asked about his new position, Mr. Shearer stated, "I'm glad to be part of this
