Spectrian Corporation (NASDAQ:SPCT) today announced
the sale of 2,000,000 shares of common stock by the Company at $45.00 per share. The underwriters of the offering were
Morgan Stanley Dean Witter, Lehman Brothers Inc. and Oppenheimer & Co., Inc. The Company has also granted the
underwriters an option to purchase up to an additional 300,000 shares to cover over-allotments, if any.

Spectrian, whose stock is traded on the Nasdaq National Market, will have approximately 10,350,000 common shares
outstanding after the offering assuming no exercise of the over-allotment option. A copy of the prospectus relating to the
