Would love to look at your memorandum and business plan, but if you are going to do this over the internet, not many firms will get involved. The underwriter and its syndicate plus selling group will not allow the public to go directly to the company for shares in an IPO, because they don't earn their fee. The firms get their spread by placing your shares in the public's hands. You can raise private money through many avenues, such as 405 fundings (don't recommend Reg. S). You need to consult your SEC attorney to see what fits with you objectives and if you have enough "friends" of the company now to get your initial funding inorder to have enough money to do an IPO. It is time consuming and very expensive. We can discuss this privately, so as not to belabor the point in this forum. Love to help point you in the right direction if not maybe to even help you go public. Stephanie
