ADP Dealer Services Acquires CTSoft Corporation

Move Enhances ADP's Front-end Solutions in Canadian Automotive Retail Market

TORONTO, March 26 /PRNewswire-FirstCall/ -- In a move to reinforce its expanding product offering in Canada, the Dealer Services Group of Automatic Data Processing, Inc. (NYSE: ADP) today announced its acquisition of CTSoft Corporation, based in Montreal, Canada.

Founded in 1996, CTSoft sells, installs and supports a line of bilingual (French and English) automotive dealers' front-end software solutions. The company's principal product, "CTWizard," is a dealership-proven solution that assists dealers in running their retail businesses more effectively and provides a strong return on their technology investment. This software program gives dealers the ability to better manage a wide variety of showroom functions, among them: finance and insurance; vehicle inventory control; price quoting; customer follow-up; prospect tracking; and manufacturer incentive programs. This powerful solution is deployed in a terminal services environment, which reduces the overall dealership's hardware costs since there is no longer a need for the client desktop to operate expensive PC workstations. The company currently provides services to more than 220 dealer locations in Canada and employs 16 people. All 16 employees have joined ADP Dealer Services, Canada.

In announcing the acquisition, Dean Anton, Vice President and General Manager of ADP Dealer Services Canada, said CTSoft will provide ADP's next generation front-end solution for the entire Canadian market. Anton further commented that "CTSoft has been a successful participant in ADP's API (Application Program Interface) program for more than two years, and we've established tight interfaces for CTWizard with both our w.e.b.Suite2000(TM) and w.e.b.Suite1000(TM) (Alliance) dealership management system platforms. Our goal is to help clients sell cars more profitably and with this acquisition, we are poised to become the pre-eminent front-end solution provider to the automotive market in Canada."

CTSoft founder, Patrick Helie, is also enthusiastic about the acquisition.
