Securities regulators proposed a ban yesterday on the issuing of stock by shell companies to employees or consultants who help generate a market for the shares.

The Securities and Exchange Commission voted 5 to 0 to seek public comment on the rule, which would also require closely held companies that are trying to go public by combining with a shell company to file audited statements with the S.E.C.

Regulators said they hoped the ban would deter people from using shells in schemes to inflate share prices and then sell the stock.
